Yooada Terms of Service

Effective date: 21 September 2026 · Last updated: 21 September 2026

These Terms of Service ("Terms") are a binding agreement between you and Futhertech Co., Limited ("Yooada", "we", "us"), and govern your use of the Yooada iOS application and any related services (together, the "Service").

By creating an account, or by using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle your data and forms part of these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" means that organisation.

You may not use the Service if you are barred from doing so under the laws of your country or the laws of Hong Kong.

2. The Service, and its early access status

Yooada is an AI personal assistant that helps you track email follow-ups, manage your schedule, capture voice notes, and maintain records about the people you work with.

The Service is currently offered as early access. This means:

We provide the Service on an "as is" basis during this period, as described in Section 12.

3. Your account

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for everything that happens under your account. Tell us promptly at xscores.vip@gmail.com if you believe your account has been compromised.

One person may hold one account. Do not share your account with others or transfer it without our written consent.

You may delete your account at any time from Settings → Account → Delete account. Deletion becomes permanent after the recovery period described in our Privacy Policy.

4. Your content

You own your content. This includes your voice recordings and transcripts, notes, tasks, schedule entries, people records, and the email data you bring in through connected accounts ("Your Content").

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, and display Your Content solely to operate and provide the Service to you and to do the things described in our Privacy Policy. This licence ends when you delete the relevant content or your account, subject to reasonable backup retention periods.

We do not use Your Content to train generalised AI or machine learning models. Data received through Google APIs is subject to the additional restrictions set out in Section 4 of our Privacy Policy, which prevail over anything in these Terms.

You are responsible for Your Content. You represent that you have the rights necessary to provide it to us, and that doing so does not violate any law or the rights of any third party. This includes information you record about other people: you are responsible for ensuring you are entitled to record and process it.

5. AI-generated output

The Service uses large language models to produce summaries, follow-up suggestions, draft text, and other output ("Output").

You should read this section carefully:

6. Connected third-party services

The Service can connect to third-party services such as Google (Gmail) and Apple. Those services are operated by their providers, not by us, and your use of them is governed by their own terms and privacy policies.

You are responsible for having the right to connect the accounts you connect — including, where the account belongs to an employer or client, the right to grant access to its data.

We access third-party data only within the scopes you authorise, and we handle data received from Google APIs in accordance with the Google API Services User Data Policy, including the Limited Use requirements. You may disconnect a connected account at any time in the app.

We are not responsible for the availability, accuracy, or acts of third-party services, and a change made by a provider may reduce or remove functionality in the Service.

7. Acceptable use

You agree not to:

  1. use the Service in violation of any applicable law, or to infringe anyone's rights;
  2. connect an account, or upload content, that you are not authorised to;
  3. use the Service to send unsolicited bulk messages, to harass, or to deceive;
  4. attempt to access another user's account or data, or probe, scan, or test the security of the Service without our written permission;
  5. reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is unenforceable under applicable law;
  6. scrape the Service, or use it to build a competing product or to train a machine learning model;
  7. resell, sublicense, or provide the Service to third parties as a service;
  8. circumvent usage limits, rate limits, or access restrictions; or
  9. interfere with the operation or integrity of the Service.

We may suspend or terminate your access if you breach this section, and we may do so immediately where the breach creates risk for other users, for us, or for a third-party provider.

8. Fees

The Service is currently provided free of charge. We may introduce paid plans in the future. If we do, we will give you notice before any charge applies to you, and you will be able to decline and continue on a free tier or stop using the Service.

9. Changes, suspension, and termination

We may modify, suspend, or discontinue any part of the Service. Where a change materially reduces functionality you rely on, we will give reasonable notice where practical.

You may stop using the Service and delete your account at any time.

We may suspend or terminate your account if you breach these Terms, if required by law, or if continuing to provide the Service to you would create material risk or liability for us. Except where a breach makes it inappropriate, we will give you notice and a chance to export your data.

Sections 4 (as to the licence needed for backups), 5, 7, 10 through 17, and 19 survive termination.

10. Our intellectual property

The Service, including its software, interface, design, and brand, is owned by us and our licensors and is protected by intellectual property law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Yooada application on Apple-branded devices that you own or control, as permitted by the App Store Terms of Service.

These Terms do not grant you any right to our trademarks, logos, or brand features.

11. Feedback

If you send us suggestions, bug reports, or ideas, we may use them without restriction and without owing you compensation. You are not obliged to send feedback.

12. Disclaimers

To the fullest extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that Output will be accurate or complete; that follow-ups, reminders, or events will be detected, surfaced, or delivered; or that data will not be lost.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these Terms limits rights you have under mandatory consumer protection law.

13. Indemnification

You will indemnify and hold us harmless from claims, damages, and reasonable costs arising from your breach of these Terms, Your Content, or your use of the Service in violation of law or third-party rights. This does not apply to the extent the claim arises from our own breach or negligence, and it does not apply where you use the Service as a consumer for personal purposes and applicable law prohibits such an obligation.

14. Apple-specific terms

This section applies to the Yooada application obtained through the Apple App Store, and prevails over any conflicting provision in these Terms as regards Apple.

  1. Parties. These Terms are between you and us only, not with Apple. We, not Apple, are solely responsible for the application and its content.
  2. Scope of licence. The licence granted in Section 10 is non-transferable and limited to use on Apple-branded devices you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, including through Family Sharing where applicable.
  3. Maintenance and support. We are solely responsible for providing maintenance and support. Apple has no obligation to furnish any maintenance or support services.
  4. Warranty. In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.
  5. Product claims. We, not Apple, are responsible for addressing any claims relating to the application or your use of it, including product liability claims, claims that the application fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
  6. Intellectual property claims. We, not Apple, are responsible for the investigation, defence, settlement, and discharge of any third-party claim that the application or your use of it infringes that third party's intellectual property rights.
  7. Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Developer contact. Questions, complaints, or claims about the application should be directed to xscores.vip@gmail.com.
  9. Third-party terms. You must comply with applicable third-party terms of agreement when using the application.
  10. Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15. Export control and sanctions

You may not use or export the Service in violation of applicable export control or sanctions laws, including those of the United States and Hong Kong.

16. Governing law and disputes

These Terms are governed by the laws of Hong Kong, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the courts of Hong Kong, and both parties consent to their jurisdiction.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you the right to bring proceedings in your place of residence and to the protection of mandatory local consumer law, nothing in this section removes that right.

17. Changes to these Terms

We may update these Terms as Yooada changes. We will update the effective date at the top of this page and provide additional notice when required by law.

18. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
